AT&T Career: AT&T Corp. and Spin-Offs Lucent Technologies Inc. and Avaya Inc. (January, 1984 – August, 2001 Retirement)

Most of my legal career was spent at AT&T Headquarters or one of its corporate spin-offs. My main areas of responsibility included legal support of the AT&T Treasury Organization, the global manufacturing, and procurement organizations; the corporate aviation group, and I was a member of the Headquarters Merger & Acquisition Team specializing in corporate due diligence, outsourcing and joint ventures. Some additional details about these areas of responsibility:


  • Member of the corporate headquarters legal staff in support of the AT&T Treasury Organization. In such capacity, responsibilities included: a) the development of bankruptcy policy and procedures and coordination of bankruptcy matters and training of AT&T Regional Attorneys; and b) legal support for AT&T’s position on the Official Unsecured Creditors Committee for the Eastern Air Lines Bankruptcy; day-to-day banking operations and cash management, letters of credit.
  • Provided legal support for global corporate aviation division, including the negotiation of aircraft purchases and sales.
  • Member of a sales division’s leadership/managing council applying legal concepts to day-to-day issues of running a business – support of sales team, subcontracts, intellectual property rights, development of marketing offers addressing antitrust pricing and related issues
  • Corporate Counsel in support of the Worldwide Global Procurement Organization and due diligence for M&A projects – more particularly (i) global support of the semiconductor and other factories, domestic and international, including a purchasing consortium for manufacturing equipment; (ii) the centralized global component purchasing group, including just-in-time delivery arrangements (iii) the equipment leasing organization. Such legal support included the negotiation with third parties of development and design agreements with emphasis upon allocation of intellectual property rights, as well as the development of contract templates and training for 800 procurement managers.

Prior to AT&T Career: Counsel for Midlantic Banks Inc. (Regional New Jersey bank holding company) for seven years supporting its subsidiary banks.
